Welcome to myconmigo.com (the “ Site ”), operated by Conmigo Collective LLC (hereinafter “ Conmigo,” “ MyConmigo,” “ we,” or “ us ”). These Terms of Use (the “ Terms ”) constitute a legally binding agreement that governs your access to and use of the Site and any related online features, including membership enrollment, account creation, the secure MyConmigo dashboard, profile access, educational content, farm storytelling, farm updates, event information, transactional communications, and related features we make available (collectively, the “ Service ”).

By accessing or using the Site or the Service, creating an account, purchasing or requesting a membership, submitting information to us, or clicking “I Accept” or any similar call to action, you represent that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Site or the Service.

In addition to these Terms, you may enter into other agreements with us, including a separate Membership Agreement, payment authorization, event terms, waivers, releases, consent forms, or other disclosures that govern specific memberships, events, experiences, or services. If there is a conflict between these Terms and another agreement you enter into with us, the more specific agreement will control with respect to the subject matter of that agreement.

1. OUR SERVICE

Conmigo is a membership-based community and lifestyle brand connected to New Mexico agave cultivation, farm storytelling, educational content, farm updates, events, and member experiences. You may use the Site or the Service to learn about our offerings, purchase or request a membership, create and manage an account, access the secure MyConmigo dashboard, view your profile, review farm updates, view event information, receive communications from us, and obtain educational and informational materials regarding agave cultivation, agriculture, storytelling, and related experiences.

Conmigo may offer annual membership tiers, including Semilla ($500), Joven ($2,000), and Maduro ($5,000-$10,000+), with Maduro being invite-only or request-only through a contact form or similar approval process. We may also make available event-related experiences or related offerings through the Site, dashboard, or separate communications. Membership availability, benefits, pricing, eligibility, dashboard features, event access, and related offerings may change from time to time in our sole discretion, subject to applicable law and any specific written agreement we enter into with you.

Membership is a community and experience membership only. It is not an investment, security, crowdfunding opportunity, equity interest, ownership interest, plant ownership right, crop right, farm right, product right, bottle entitlement, tasting entitlement, alcohol entitlement, revenue share, profit participation, or financial return. Conmigo does not guarantee any specific future benefit, product allocation, farm access, event access, tasting access, bottle access, alcohol access, appreciation in value, revenue, profit, or outcome of any kind. Any Sponsor-a-Row Recognition or similar recognition is symbolic only and does not convey any legal or beneficial ownership of any plant, crop, row, land, product, inventory, intellectual property, revenue stream, or other asset.

We may provide educational, storytelling, or informational materials designed to support community engagement and member experience. Those materials are illustrative and informational only and do not create any promise, guarantee, or binding commitment regarding future products, services, events, agricultural outcomes, or member benefits. Agriculture, farm operations, events, access, and future offerings are inherently subject to change due to weather, crop conditions, operational needs, legal requirements, safety concerns, vendor constraints, and other circumstances beyond our control.

2. COMMUNICATION

We use the information we collect or receive to communicate directly with you regarding the Site, the Service, your inquiries, your account, your membership, payments, receipts, dashboard access, farm updates, event information, service notices, support matters, and related operational issues, all as further described in the Privacy Policy.

By providing your contact information, you consent to receive communications from us by email for service-related purposes. If we offer communications by telephone call or text message in the future, including by automated technology where permitted by law, we will obtain any additional consent required by applicable law before doing so. Transactional communications may include sign-up confirmations, account notices, payment receipts, welcome communications, password reset messages, membership notices, event-related notices, and other operational communications necessary to administer the Service.

You understand that consent to receive promotional communications is not a condition of purchasing any goods or services. Phase 1 of the Service does not contemplate general marketing blasts; however, if we offer marketing communications in the future, you may opt in where required by law and unsubscribe at any time using the method provided in the communication. You may not opt out of transactional or service-related communications that are necessary to administer your account, process your membership, manage payments, provide the Service, or send legally required notices.

By using the Site or Service, you consent to receive disclosures, notices, records, agreements, authorizations, payment receipts, cancellation information, event-related notices, and other communications electronically, to the extent permitted by applicable law. You are responsible for maintaining a current and functional email address, telephone number, mailing address, and account access information so you can timely receive communications from us.

3. USE OF SERVICE AND CONTENT

Eligibility and Representations of Users

The Service is intended solely for users who are at least 21 years of age, and any registration or use of the Service by anyone younger than 21 is prohibited. Because certain content, tastings, events, spirits-related information, or other experiences may be alcohol-adjacent or age-restricted, access to certain portions of the Site or Service may be limited to users who are at least 21 years of age or who satisfy additional age, identity, eligibility, waiver, or verification requirements. 

By using the Service, you represent and warrant that you are at least 21 years old and legally capable of entering into a binding agreement. If you access or participate in any age-restricted, alcohol-related, tasting-related, event-related, or farm-access experience, you further represent and warrant that you satisfy all applicable age and eligibility requirements.

If you are using the Service on behalf of another person or entity, you represent and warrant that you are authorized to act on behalf of that person or entity and to bind that person or entity to these Terms. If you violate these Terms or any other agreement with us, we reserve the right to suspend or terminate your account, restrict your access to the Service, cancel or limit access to membership benefits, refuse future transactions, remove submitted materials, or prohibit you from using the Site or Service, subject to applicable law.

By using the Service, you further represent and warrant that:

• you have the right, authority, and capacity to enter into and comply with these Terms;

• any information you provide to us is accurate, current, complete, and not misleading;

• you own or control all rights necessary to provide any information or materials you submit through the Service;

• you will not use the Service in violation of any law, regulation, court order, contractual restriction, or third-party right;

• you will not use the Service to facilitate fraud, identity theft, deceptive conduct, unlawful alcohol-related activity, unauthorized resale, or any other unlawful activity; and

• you will not claim or imply that your membership gives you any ownership or entitlement in any plant, crop, row, land, product, bottle, alcohol inventory, revenue stream, or other asset of Conmigo or any related business.

Privacy

Your privacy is important to us. Our Privacy Policy explains how we collect, use, store, disclose, and protect personal information that you provide to us or that we collect through your use of the Service. By using the Service, you acknowledge that you have reviewed the Privacy Policy, which is incorporated into these Terms by reference.

Intellectual Property Ownership

For purposes of these Terms, “ Intellectual Property Rights ” means all patent rights, copyright rights, trademark rights, service mark rights, trade dress rights, rights of publicity, moral rights, domain name rights, trade secret rights, goodwill, and other intellectual property or proprietary rights, whether now existing or later recognized, and all applications, registrations, renewals, and extensions of the foregoing.

The Service and all materials made available through it, including software, code, text, copy, graphics, designs, logos, branding, photos, videos, audio, educational content, farm updates, stories, dashboards, layouts, compilations, and related materials (collectively, the “ Conmigo Content ”), and all Intellectual Property Rights in and to the foregoing, are owned exclusively by Conmigo or its licensors. You do not acquire any ownership or other rights in any Conmigo Content by accessing the Site, using the Service, purchasing a membership, receiving symbolic recognition, or participating in any event or experience.

Except as expressly stated in these Terms, you may not sell, license, rent, reproduce, modify, distribute, republish, transmit, display, perform, create derivative works from, scrape, download, or otherwise exploit any Conmigo Content without our prior written consent. Use of Conmigo Content for any purpose not expressly permitted by these Terms is strictly prohibited.

You may choose to submit comments, suggestions, ideas, feedback, or proposals regarding the Service or our offerings (“ Ideas ”). By submitting any Idea, you agree that your submission is gratuitous, unsolicited, and without restriction, and that we may use, disclose, adapt, or implement that Idea without compensation, attribution, or obligation to you.

Licenses

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and the Service solely for your own lawful, internal, personal, or business use as permitted by these Terms and any applicable written agreement you have with us. We reserve all rights not expressly granted.

You grant us a limited, non-exclusive, royalty-free license to use, host, store, reproduce, process, transmit, and otherwise handle any information or content you submit through the Service solely as reasonably necessary to provide, administer, support, secure, improve, and document the Service, enforce our rights, and comply with law. This license continues for as long as reasonably necessary for those purposes and survives to the extent required for backup, compliance, legal, accounting, audit, dispute-resolution, or recordkeeping purposes.

Usernames and Passwords

When you register for an account, we may ask you to create login credentials, including a username, email login, and password (“ Registration Details ”). You are entirely responsible for safeguarding your Registration Details and for all activities that occur under your account.

You agree to notify us immediately if you suspect or become aware of any unauthorized access to or use of your account or Registration Details. We are not liable for losses caused by your failure to maintain the confidentiality of your credentials or to promptly notify us of suspected unauthorized use.

Account Verification and Authorization

When you register for an account, request a membership, enroll in the Service, make a payment, or otherwise interact with us through the Site, you agree to provide complete, accurate, and current information and to comply with these Terms, the Privacy Policy, and any additional membership-facing agreements, payment authorizations, event rules, waivers, or service-specific terms that apply.

We reserve the right to verify your identity, contact information, age, eligibility, payment method, address, authority, and account information directly or through third parties where reasonably necessary, subject to applicable law. If requested, you must provide information or documentation reasonably necessary to verify your identity, eligibility, payment authorization, or compliance with these Terms. Delays, inaccuracies, incomplete submissions, failed payment verification, or failure to provide requested documentation may delay, limit, suspend, or prevent access to the Service or to specific features.

If you enroll in a paid membership or other paid offering, you authorize Conmigo, directly or through third-party payment processors such as Stripe, to charge your designated payment method for the fees you agree to pay. You agree to maintain current and valid billing information and to cooperate with us in connection with payment processing, failed payments, chargebacks, reversals, fraud review, or account administration.

Any refund rights, cancellation rights, billing timing, renewal terms, membership duration, and related payment terms will be governed by the Cancellation Rights provisions of these Terms, your Membership Agreement, checkout disclosures, and applicable law.

Member Responsibilities

You are solely responsible for:

• providing complete, accurate, and current information;

• reviewing all agreements, disclosures, notices, and communications we send to you;

• monitoring your email, text messages, phone messages, and account dashboard;

• maintaining updated contact and billing information;

• complying with all event rules, waiver requirements, age-related restrictions, and safety instructions; and

• promptly responding when we require action or information from you.

Your membership or use of the Service does not relieve you of responsibility for reviewing the details of any membership tier, event, purchase, waiver, policy, or communication applicable to you.

Cancellation Rights

Membership fees are generally non-refundable once membership benefits begin. For purposes of this Section, membership benefits are deemed to begin when you receive or are granted access to the member dashboard, private updates, member-only content, member recognition, welcome kit preparation or shipment, event registration, or any other membership benefit. You may request cancellation of your membership by contacting us at legal@myconmigo.com within seven (7) days after your initial membership purchase. During that seven-day period, Conmigo may issue a refund in its sole discretion, provided that no material membership benefits have been accessed, prepared, reserved, or delivered. After that seven-day period, refunds are available only where required by applicable law or approved by Conmigo in its sole discretion. No statement on the Site should be interpreted as promising refunds, prorated cancellations, or post-purchase reversal rights beyond what is expressly stated in this Section, required by law, or approved by Conmigo in writing.

In lieu of a cash refund, Conmigo may in its sole discretion offer a credit, membership extension, substitute benefit, rescheduled experience, partial refund, or other resolution. Delays, modifications, substitutions, postponements, or unavailability of farm access, events, plant or row recognition, agricultural milestones, product concepts, tastings, releases, or other membership benefits do not automatically create refund rights. Event-specific fees, deposits, reservations, or experiences may have separate cancellation terms presented at the time of registration. To the extent permitted by law, Conmigo reserves the right to state that memberships or related benefits are non-refundable once account access, dashboard access, welcome kit preparation, symbolic recognition, event capacity reservation, or other fulfillment activity has begun.

4. RESTRICTIONS AND CLARIFICATIONS ON USE OF SERVICE

Nature of Service

Conmigo is a membership-based brand and platform that provides educational content, storytelling, community-oriented experiences, membership administration, and related digital and event-related functionality. The Site and Service are intended to support member engagement and informational access, subject to these Terms and applicable law. Conmigo Collective LLC is a separate legal entity from any other affiliated entity. Your membership with Conmigo does not create any contractual relationship with, or any rights against, any other entity unless expressly stated in a separate written agreement with that entity.

No Guarantee of Results or Benefits

We do not guarantee any specific result, outcome, availability, product, event, experience, access right, timing, benefit level, or future opportunity arising from your use of the Service or purchase of a membership. Without limitation, we do not guarantee:

• any agricultural outcome, harvest outcome, crop yield, or farm output;

• any bottle allocation, tasting opportunity, product delivery, or alcohol-related entitlement;

• any event invitation, event access, event timing, or event availability;

• any continued availability of a membership tier or benefit;

• any specific dashboard feature, feature uptime, or content update cadence;

• any symbolic recognition format or duration;

• any future discount, priority right, or preferential access; or

• any commercial, financial, ownership, or investment-related return.

Any examples, descriptions, roadmaps, storytelling materials, photos, renderings, or future-looking statements on the Site are illustrative only and may change.

Educational and Informational Content Disclaimer

The Site may contain educational, informational, or storytelling materials about agave cultivation, agriculture, farming practices, history, culture, events, and related topics. Such content is provided for general informational purposes only. It does not constitute legal, financial, tax, investment, agricultural, or other professional advice, and it should not be relied upon as a substitute for consultation with appropriate professional advisors.

No Investment, Security, or Ownership Offering

Conmigo memberships and related experiences are offered solely as community, educational, and experiential offerings. They do not constitute securities offerings, investment contracts, crowdfunding campaigns, ownership interests, or any entitlement to crops, plants, land, inventory, bottles, alcohol products, revenues, or profits. You agree not to characterize or market your membership as an investment, security, ownership right, or financial product.

No Agency; No Partnership

These Terms and your use of the Service do not create any agency, partnership, fiduciary, joint venture, employment, franchise, or similar relationship between you and Conmigo.

Compliance With Applicable Law

We intend to operate the Site and Service in compliance with applicable law. Nothing in these Terms is intended to waive any non-waivable right you may have under applicable law. To the extent any provision of these Terms conflicts with applicable law, applicable law will control to that extent and only to the minimum extent required.

Third-Party Providers and Payment Processors

We may use third-party service providers to support the Site and Service, including AWS for hosting, Stripe for payment processing, SendGrid by Twilio for transactional email delivery, Google Analytics for website analytics, and other operational vendors, advisors, developers, or providers as needed. Integrated third-party functionality may also be subject to separate third-party terms and privacy practices.

We are not responsible for the acts, omissions, products, services, systems, policies, or security practices of third parties except to the extent required by law. Your interactions with third-party providers are at your own risk and subject to the terms and policies of those providers.

General Restrictions

You may use the Site and the Service only for lawful purposes related to your legitimate use of the Service. Without limiting any other restriction in these Terms, you agree that you will not:

• use the Site or Service for any unlawful, fraudulent, misleading, harassing, defamatory, abusive, or harmful purpose;

• misrepresent your identity, age, affiliation, eligibility, or authority;

• submit false, misleading, or incomplete account, payment, or membership information;

• attempt to access age-restricted or eligibility-restricted content or experiences without satisfying applicable requirements;

• post, upload, transmit, or otherwise make available content that infringes or violates the rights of others;

• upload or transmit viruses, malware, malicious code, or other harmful technology;

• interfere with, disrupt, damage, or impair the Site, the Service, our systems, or the systems of our providers;

• reverse engineer, decompile, disassemble, scrape, copy, mirror, frame, or create derivative works from the Site or Service;

• use bots, spiders, crawlers, automated scripts, or other automated means to access or interact with the Site except as expressly authorized by us in writing;

• bypass or attempt to bypass security measures, access restrictions, or account protections;

• use the Site or Service for unauthorized commercial exploitation, resale, or competitive intelligence;

• submit any third party’s personal information without lawful authority; or

• use the Site or Service in any manner that may create legal exposure, reputational harm, or operational risk for Conmigo.

Phase 1 of the Service does not include public forums, public comments, public reviews, or member-to-member messaging. You may not use any existing functionality in a way that attempts to create or simulate public community posting features that we have not enabled. You acknowledge that certain content, materials, updates, and information made available through the dashboard or other member-only features may be proprietary, confidential, or intended exclusively for members. You agree not to reproduce, redistribute, publicly disclose, screenshot for public sharing, or otherwise disseminate member-only content without our prior written consent, except as reasonably necessary for your personal, non-commercial use of the Service.

5. FEES, MEMBERSHIPS, AND PAYMENTS

Membership pricing displayed on the Site or in associated materials is subject to change. Conmigo may offer annual membership tiers at varying price points, with certain tiers being invite-only or request-only. Current membership pricing and tier details are set forth on the Site or in applicable checkout disclosures. Pricing, taxes, fees, payment timing, payment plans, renewals, fulfillment timing, eligibility criteria, and benefit descriptions may be changed, supplemented, withdrawn, or made subject to additional approval, documentation, or agreement requirements.

All payments are processed through Stripe or another designated payment processor. We do not store full payment card numbers on our AWS-hosted servers. By submitting a payment, you authorize us and our payment processor to charge the payment method you provide for the amount due, together with any applicable taxes, fees, chargeback costs, collection costs, or other authorized amounts.

You are responsible for all charges incurred under your account and for any taxes or governmental charges associated with your purchase, except taxes imposed on our income. We reserve the right to refuse, suspend, or cancel any transaction in our discretion, including where we suspect fraud, payment failure, policy violations, pricing errors, eligibility issues, or inventory, capacity, or compliance concerns.

If a payment is declined, reversed, disputed, charged back, or otherwise unsuccessful, we may suspend or terminate your access to the relevant membership or Service features until the issue is resolved. We may also recover reasonable costs incurred in connection with failed or reversed payments to the extent permitted by law and any applicable agreement.

6. AVAILABILITY OF SERVICE, CHANGES, AND MODIFICATIONS

We reserve the right to temporarily or permanently modify, suspend, discontinue, or restrict the Site, the Service, any membership tier, any dashboard feature, any event-related feature, or any portion thereof, at any time and for any reason, with or without notice, subject to applicable law.

We may revise these Terms from time to time. When we do, we will post the updated version on the Site and update the “Last Modified” date above. If required by law or if we determine it appropriate, we may also provide additional notice by email, dashboard notice, or other means. Your continued use of the Site or Service after the effective date of updated Terms constitutes your acceptance of the revised Terms.

7. THIRD-PARTY LINKS AND TOOLS

The Site or Service may contain links to third-party websites, tools, applications, forms, resources, or services that are not owned or controlled by Conmigo. We do not endorse, control, or assume responsibility for any third-party content, products, services, systems, privacy practices, terms, or accessibility standards.

If you access a third-party website or tool from the Site, you do so at your own risk. These Terms and our Privacy Policy do not govern your use of third-party sites or services. You are responsible for reviewing the terms and policies of any third-party provider you use.

8. TERMINATION AND SUSPENSION

We may suspend, restrict, or terminate your access to the Site, the Service, your account, or any membership-related benefit at any time, with or without notice, if we believe that:

• you have violated these Terms or any other agreement with us;

• your payment fails or is reversed;

• you provided false, incomplete, or misleading information;

• your conduct creates legal, reputational, security, safety, compliance, or operational risk;

• continued access would be unlawful or inadvisable; or

• suspension or termination is otherwise necessary to protect Conmigo, our users, our partners, or the Service.

You may stop using the Service at any time. Any rights to cancel a paid membership or obtain a refund will be governed exclusively by the Cancellation Rights provisions of these Terms, the applicable Membership Agreement, checkout disclosures, and applicable law.

Termination does not affect any accrued rights, payment obligations, dispute resolution obligations, indemnification obligations, or provisions that by their nature should survive termination.

9. INDEMNITY

You agree to defend, indemnify, and hold harmless Conmigo Collective LLC and its affiliates, managers, members, officers, directors, employees, contractors, agents, licensors, service providers, advisors, successors, and assigns (collectively, the “ Conmigo Parties ”) from and against any and all claims, damages, liabilities, losses, judgments, awards, penalties, fines, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:

• your access to or use of the Site or Service;

• your violation of these Terms or any other agreement with us;

• your violation of any law, regulation, or third-party right;

• your fraud, misconduct, negligence, or willful wrongdoing;

• any information, materials, or content you submit through the Service;

• your participation in any event, experience, tasting, visit, or related activity, except to the extent caused by our gross negligence or willful misconduct where such limitation is prohibited by law; or

• any claim that you characterized or promoted your membership in a way inconsistent with these Terms, including as an investment, ownership interest, or entitlement.

10. NO WARRANTY

THE SITE AND THE SERVICE ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOUR USE OF THE SITE AND THE SERVICE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONMIGO DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, OR SYSTEM INTEGRATION.

WITHOUT LIMITING THE FOREGOING, CONMIGO DOES NOT WARRANT THAT:

• THE SITE OR SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME;

• ANY DEFECTS OR ERRORS WILL BE CORRECTED;

• THE SITE OR SERVICE WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;

• ANY CONTENT IS COMPLETE, ACCURATE, CURRENT, OR RELIABLE;

• ANY MEMBERSHIP BENEFIT, EVENT, EXPERIENCE, PRODUCT, OR FEATURE WILL REMAIN AVAILABLE;

• ANY AGRICULTURAL, STORYTELLING, COMMUNITY, OR EVENT-RELATED DESCRIPTION WILL MATCH FUTURE REALITY; OR

• ANY PARTICULAR RESULT, BENEFIT, PRODUCT ALLOCATION, ACCESS RIGHT, OR EXPERIENCE WILL OCCUR.

ANY CONTENT DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE SITE OR SERVICE IS OBTAINED AT YOUR OWN RISK. CONMIGO DOES NOT WARRANT, ENDORSE, GUARANTEE, OR ASSUME RESPONSIBILITY FOR ANY THIRD-PARTY PROVIDER, WEBSITE, TOOL, PRODUCT, SERVICE, PAYMENT PROCESSOR, EMAIL PLATFORM, ANALYTICS TOOL, OR OTHER EXTERNAL SYSTEM.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CONMIGO PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF GOODWILL, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF USE, ARISING OUT OF OR RELATING TO THE SITE, THE SERVICE, THESE TERMS, OR ANY MEMBERSHIP, EVENT, EXPERIENCE, OR TRANSACTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE CONMIGO PARTIES SHALL NOT BE LIABLE FOR ANY DAMAGES, LOSSES, OR CLAIMS ARISING OUT OF OR RELATING TO:

• use of or inability to use the Site or Service;

• errors, omissions, or inaccuracies in content;

• unauthorized access to or use of servers, systems, or personal information;

• interruption, delay, or cessation of transmission or service;

• bugs, malware, viruses, or other harmful code;

• payment transmission failures, processor errors, or chargeback disputes;

• any third-party site, tool, platform, or provider;

• cancellation, postponement, modification, or unavailability of events, tastings, or experiences;

• agricultural conditions, crop variability, weather impacts, or operational changes;

• symbolic recognition language or member expectations concerning future benefits; or

• conduct of any third party.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF THE CONMIGO PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE, THE SERVICE, THESE TERMS, OR ANY RELATED MEMBERSHIP OR TRANSACTION SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO CONMIGO IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE, AND SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW. SOME JURISDICTIONS DO NOT ALLOW CERTAIN DISCLAIMERS OR LIMITATIONS, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU TO THE EXTENT PROHIBITED BY LAW.

12. GOVERNING LAW

These Terms and your use of the Site and Service are governed by the laws of the State of New Mexico, without regard to conflict of laws principles, except to the extent superseded by applicable federal law. To the extent any claim, action, or proceeding is not subject to arbitration under Section 13, you and Conmigo agree to submit to the exclusive jurisdiction and venue of the state and federal courts located in Bernalillo County, New Mexico.

13. DISPUTE RESOLUTION

Any dispute, controversy, or claim arising out of or relating to these Terms, the Site, the Service, your account, any membership, any transaction, or the breach, termination, enforcement, interpretation, or validity of the foregoing shall be resolved by binding arbitration administered by JAMS in accordance with its applicable rules then in effect, except to the extent arbitration of a particular claim is prohibited by applicable law.

The arbitration shall be conducted by a single arbitrator in New Mexico, in English, unless the parties agree otherwise. The arbitrator’s decision shall be final and binding, and judgment on the award may be entered in any court having jurisdiction.

To the fullest extent permitted by law:

• you and Conmigo agree that each may bring claims against the other only in an individual capacity and not as a plaintiff, claimant, class member, or representative in any purported class, collective, consolidated, representative, or private attorney general action;

• you and Conmigo waive any right to a jury trial; and

• the arbitration and all related proceedings shall be kept confidential except as necessary to conduct the proceeding, enforce or challenge an award, or comply with law.

Notwithstanding the foregoing, either party may seek temporary, preliminary, or injunctive relief in a court of competent jurisdiction to protect its rights pending completion of arbitration.

14. MISCELLANEOUS

No Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect.

Assignability

You may not assign or transfer these Terms or any rights or obligations under them without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction.

Survival

All provisions that by their nature should survive termination or expiration of these Terms shall survive, including provisions relating to intellectual property, payments, disclaimers, limitations of liability, indemnification, governing law, dispute resolution, and miscellaneous terms.

Entire Agreement

These Terms, together with the Privacy Policy and any additional agreements you enter into with us in connection with the Service, constitute the entire agreement between you and Conmigo regarding the subject matter addressed herein and supersede prior or contemporaneous understandings on that subject matter.

Construction

Headings are for convenience only and do not affect interpretation. The words “including” and similar terms mean “including without limitation.” Singular terms include the plural and vice versa where the context requires.
